RESPONSIBILITIES OF MEMBER

Member agrees to participate in the LES Community subject to the terms and conditions of this Agreement. Member’s responsibilities and duties are as follows:

Organization Representative. Member will be represented in the LES Community by the duly appointed Superintendent and/or a member of the Executive team of the Member school district.

Annual Membership Cost. Annual membership is based upon the level of membership (1, 2, or 3) and the amount of team members. The following are the yearly membership costs unless an alternate price is mutually agreed upon:

All invoices will be due within thirty (30) days of receipt.

Travel and Entertainment Costs. Annual membership does not include the cost of a hotel room or travel costs. Face-to-face gatherings are optional, and future opportunities will be communicated.

LES Business/Nonprofit/Foundation Partners. Superintendents are under no obligation to purchase services offered by LES Business/Nonprofit/Foundation Partners.

COMMUNICATIONS AND INFORMATION SHARING – Member agrees that participant’s name, title and affiliation may be listed publicly on behalf of the LES Community or by LES in connection with the LES Community’s activities. In addition, Member agrees that the above information, along with the Leaders contact information (email/phone) may be disseminated to the Members in the LES Community. Members agree not to use, or disseminate to others, telephone numbers or email addresses related to other LES Community Members for other commercial purposes. LES will be solely responsible for public-facing communications about the LES Community’s work.

CONFIDENTIAL INFORMATION – Member agrees not to disclose any sensitive, confidential information that is shared by another LES Community Member to third parties without the prior consent of the disclosing Community Member.

RELATIONSHIP OF PARTIES – The LES Community is not a separate legal entity, and these terms and conditions do not create a partnership, joint venture, or render the Parties as employer and employee. Member cannot bind or create any relationship of principal or agent between Member and LES or between or among LES Community Members.

USE OF NAME AND MARKS – Member agrees that it shall not, in relation to the work of the LES Community and without prior written consent of LES in each instance: (i) use in advertising, publicity or other promotional activity the name of LES or any trade name, trademark, service mark or source identifier owned by LES, or (ii) represent, directly or indirectly, that any product or any service provided by Member has been approved, sponsored or endorsed by LES.

TERM AND TERMINATION – Term. This Agreement is effective on the latest date of the signatures below and remains in effect until terminated in accordance with the provisions of this Agreement.
Annual Membership Period. Member’s initial annual membership will extend from the effective date of this Agreement through the length of a one-year period. The Agreement will be automatically renewed each year for additional one-year periods unless Member notifies LES of its intent not to renew 30 days prior.

Termination for Cause. Member’s participation in the LES Community may be terminated upon notice to Member, if, in the reasonable determination of the LES Chair, Member has failed to comply with the terms of this Agreement.

Termination with Notice. Member may immediately terminate its participation in the LES Community by providing written notice to the LES Chair. LES may terminate this Agreement upon thirty days’ written notice to Member.

No Refunds. Annual memberships are non-refundable in whole or in part upon thirty days’ written notice to Member.
Consequences and Survival. Upon termination of this Agreement, the terms of Sections 5, 6, 9, and 10 survive the termination of this Agreement.

GOVERNING LAW
This Agreement shall be governed and construed in accordance with the laws of the State of Georgia.
